These Terms & Conditions ("Terms") govern access and use of Intellicrew Elevate, an AI‑powered Learning & Compliance SaaS platform operated by Zykoon Technologies Pvt Ltd ("Company", "We", "Us"). By accessing the platform, you acknowledge and agree to these Terms.

2. Acceptance of Terms

By creating an account, subscribing, or using any part of the Platform, you agree to comply with these Terms. If you are entering into this agreement on behalf of a company, you represent that you are authorized to bind that company.

By using Intellicrew Elevate, the Customer and its Users also acknowledge and agree to the following policies, each of which forms an integral part of these Terms and is incorporated herein by reference:

Continued access or use of the Platform constitutes acceptance of all linked policies. Violation of any linked policy may result in suspension or termination of access in accordance with these Terms.

3. Services Provided

Intellicrew Elevate provides AI-driven learning, training management, compliance workflows, PoSH readiness, content authoring, analytics, and related enterprise features. Feature availability varies by subscription plan or PoSH Pack.

Elevate is intended for business use only (B2B). Individual consumers may not register.

7. One‑Time PoSH Compliance Packs

PoSH Packs provide access only to PoSH‑related features. They do not include general LMS, AI authoring, or L&D modules unless explicitly marked as preview‑only. Access expires automatically on 10 February 2026, after which all PoSH Pack–specific features will be locked unless upgraded to a standard Elevate subscription.

AI outputs are generated using Azure-hosted AI models (global infrastructure). You acknowledge and agree that:

User data is hosted in Azure India Region. AI model processing may involve Azure global regions strictly for inferencing. By using Elevate, you consent to such processing. All handling follows applicable Indian data laws and DPDP Act principles.

All software, UI/UX, design, algorithms, workflows, and documentation belong to Zykoon Technologies Pvt Ltd. You retain ownership of your uploaded or created materials.

Both parties agree to protect confidential information. We use industry-standard encryption, access controls, and secure storage practices.

14. Termination & Suspension

We may suspend or terminate accounts violating these Terms. No refunds are provided in such cases. Customers may choose not to renew subscriptions at the end of a billing cycle.

15. Governing Law & Dispute Resolution

These Terms are governed by laws of India. Disputes are subject to courts in Gurgaon, Haryana.

17. Enhanced Subscription & License Terms

All subscriptions, including monthly, annual, PoSH Packs, and enterprise add-ons, are licensed—not sold—to the Customer. Licenses are non‑transferable, non‑exclusive, and limited to the permitted user count under the Customer's active plan. Any attempt to bypass user limits, content limits, AI token limits, or access controls (including through rotation of users, shared credentials, or automation tools) constitutes a breach of these Terms and may result in immediate suspension without refund.

18. AI Output Limitations & Compliance Responsibilities

AI-generated learning materials, policies, PoSH summaries, surveys, emails, or training content within Elevate are intended solely as assistive drafts. The Customer acknowledges and agrees that:

19. Data Protection & DPDP Act Alignment

Zykoon Technologies follows reasonable security practices aligned with the Digital Personal Data Protection Act, 2023 ("DPDP Act"). These include purpose limitation, role-based access control, audit logging, secure authentication, encryption in transit, and least-privilege access for authorized personnel. The Customer, acting as the Data Fiduciary for its employees, is responsible for providing lawful notices, obtaining consents where required, and ensuring compliance with internal HR and regulatory requirements.

Data for India-based customers is stored within the Azure India Region. For global customers, data is stored in the Azure region selected during onboarding, based on availability and compliance needs. The platform may process data transiently outside the selected region exclusively for AI inferencing on Azure's globally distributed infrastructure. No personal data is permanently stored outside the Customer's designated region. By using Elevate, the Customer explicitly consents to such transient cross-border processing.

20. Service Availability & Third-Party Dependencies

Elevate is hosted on Azure Cloud and relies on several third-party service providers, including Azure AI, email and SMS gateways, CDN providers, authentication services, and Razorpay for billing functionality. While Zykoon Technologies implements industry-standard monitoring, redundancy, and reliability practices, uninterrupted service availability cannot be guaranteed due to potential third-party outages, cyber incidents, network failures, infrastructure disruptions, or scheduled maintenance.

Customer acknowledges that temporary interruptions, degraded performance, or limited feature availability due to third-party dependencies do not constitute a service defect and shall not be grounds for refunds, credits, penalties, or legal claims. Zykoon Technologies will make reasonable efforts to communicate planned maintenance and restore services promptly during unplanned disruptions.

21. Support Obligations & Service Levels

Support services are provided based on the Customer's active subscription plan. Zykoon Technologies will make commercially reasonable efforts to resolve issues reported through approved support channels. Unless the Customer has entered into a separate Enterprise Support Agreement or SLA, the following standard support terms apply:

Support does not include configuration of third-party systems, custom feature development, data migration, legal compliance checks, content creation (except where AI tokens are used), or training beyond the documentation made available. Scheduled maintenance windows may occur periodically; reasonable notice will be provided.

22. Customer Obligations

The Customer agrees to use Elevate responsibly and in compliance with applicable laws, regulations, and internal organizational policies. Customer obligations include, but are not limited to, the following:

Failure to meet these obligations may result in suspension, service restrictions, or termination without refund.

23. Audit Rights & Misuse Prevention

Zykoon Technologies reserves the right to monitor and analyze platform activity to ensure compliance with these Terms, detect misuse, and enforce subscription limits. This may include automated or manual review of login activity, device fingerprints, IP logs, role assignments, user creation patterns, and AI usage metrics.

If misuse or violation of subscription limits is identified—including rotating users in and out to avoid plan upgrades, disabling/reactivating users solely to circumvent restrictions, or unauthorized API/scripted access—Zykoon Technologies may take one or more of the following actions:

Audit reviews will not access Customer content except where required to investigate platform misuse, security threats, or legal obligations.

24. Indemnification

The Customer agrees to indemnify, defend, and hold harmless Zykoon Technologies Pvt Ltd, its officers, employees, contractors, and affiliates from any claims, damages, liabilities, losses, or expenses (including legal fees) arising from or related to:

This indemnity survives termination or expiration of the Customer's subscription.

25. Force Majeure

Zykoon Technologies shall not be held liable for any delay or failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, civil unrest, fire, floods, epidemics, government actions, labour disputes, cyberattacks, infrastructure outages, or major service disruptions from third-party providers such as Azure or communication networks.

During such periods, obligations that cannot be performed will be suspended without liability or eligibility for refund. Services will resume once conditions reasonably allow.

26. Updates to Terms

Zykoon Technologies may modify these Terms from time to time to reflect legal requirements, product enhancements, technological changes, or operational adjustments. Updates will be communicated through email notifications, an in-platform announcement, or by updating the "Last Updated" date at the top of the document.

Continued use of Elevate following such updates constitutes acceptance of the revised Terms. If a Customer does not agree to the updated Terms, the Customer must discontinue use of the platform and contact Zykoon Technologies regarding closure procedures.
